1. Terms of Agreement

Welcome to the Hari Traders commercial storefront. By accessing this website, placing orders, calculating wholesale discount tiers, or submitting RFQ inquiries, you agree to be bound by these Terms & Conditions. These terms govern the commercial relationship between Hari Traders and our buyers.

2. Business Eligibility and B2B Representation

This storefront facilitates both retail purchasing and high-volume B2B distribution. To access our wholesale discounts and B2B ordering portals:

• You represent that you are an active legal business entity, independent retail trader, or registered distributor in India.
• You warrant that all corporate details, including your business name, Contact Person, delivery address, and GSTIN (where provided), are accurate, current, and legally valid.
• We reserve the right to suspend accounts or refuse service if we discover billing information or business credentials to be fraudulent or falsified.

3. Pricing, GST, and Invoicing

All commercial transactions are processed under the following monetary terms:

• All product prices displayed in the catalog are in Indian Rupees (INR / ₹).
• Pricing includes applicable Goods and Services Tax (GST) calculated at the standard footwear rate of 18% unless specified otherwise. Tax details are broken down on checkout summaries and final tax invoices.
• Prices are subject to change without prior notice due to shifts in raw material leather costs or transportation tariff adjustments. Confirmed orders will be invoiced at the rate active when the checkout was finalized.

4. B2B Minimum Order Quantities (MOQ) & Discount Tiers

Our wholesale model operates on strict volume boundaries to maintain price integrity:

• Minimum Order Quantity (MOQ): Each product category maintains a specific MOQ (e.g., Running: 15 pairs, Sneakers: 12 pairs, Sandals: 20 pairs) which must be met to qualify for B2B pricing.
• Tiered Discounts: Discounts are automatically calculated by the system based on order volume. These discounts range from 10% up to 45% off base prices.
• If a wholesale order falls below the defined category MOQ thresholds during cart adjustment, the system will apply standard retail pricing to the items.

5. Payments and Dispatch Terms

Standard delivery dispatch is governed by clear payment clearing rules:

• Orders will only enter our logistics warehouse fulfillment queue once payment is fully cleared and verified. We accept verified online payments, UPI transfers, and direct bank transfers.
• Freight delivery times are estimates and may vary due to transit factors, regional check-points, and weather conditions. Hari Traders is not liable for delayed deliveries caused by third-party carrier backlogs.

6. Intellectual Property Rights

This website and all creative contents—including brand logos, shoe product descriptions, user interface graphics, and site code—are the exclusive intellectual property of Hari Traders and are protected by Indian copyright laws. Unbranded shoes supplied under our catalog are sold for retail distribution. Buyers are prohibited from falsely claiming design copyrights over our unbranded products.

7. Limitation of Liability

Hari Traders is not liable for any indirect, incidental, or commercial losses (including loss of retail profits, retail store downtime, or market reputational damages) arising from product delays, structural shoe defects, or inventory stockout periods. Our total liability for any certified product claim shall not exceed the invoice price paid for that specific product run.

8. Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of India. Any legal disputes, claims, or actions arising from transactions on this website shall be subject to the exclusive jurisdiction of the competent courts of Bathinda, Punjab, India.
